Supplier and Subcontractor Terms

Prototek is committed to providing products and services that comply with all aspects of our customers’ requirements. In order to achieve this goal, Prototek requires suppliers to abide by the following terms.
1. Quality Control
1.1. Suppliers shall:
1.1.1. Comply with all Supplier Corrective Action Requests.
1.1.2. Control sub-tier suppliers to ensure compliance with all specifications and process requirements
1.1.3. Have a quality system in place and be able to demonstrate compliance to Prototek’s production requirements
1.1.4. Not implement changes that may impact form, fit, function, interchangeability, reliability, or durability of their products or processes without written notification to and approval by Prototek, including supplier changes, work location changes, and process changes
1.1.5. Notify Prototek of any situation with a known or perceived negative impact to product quality, reliability and, or safety
1.1.6. Ensure persons are aware of their contribution to product quality, product safety, and the importance of ethical behavior
1.1.7. Provide copies of quality certifications (e.g. ISO 9001) to Prototek. Suppliers shall send updated certifications or inform Prototek upon certification expiration
2. Counterfeit Materials
2.1. The supplier shall certify that only new and authentic materials are used in products or goods delivered to Prototek and that the products/goods delivered contain no counterfeit. Supplier must provide traceability identification (i.e. date code, lot number, serial number) for all material delivered to Prototek.
2.2. As applicable, the supplier shall provide a COA or COC and the latest revision of SDS, RoHS, REACH, CMRT and California Proposition 65 documents for all materials provided.
2.3. To prevent the use of expired material, the supplier shall provide the expected shelf life of the material. The supplier shall also provide either the date of material expiration or the date of material manufacture. Materials purchased by Prototek must arrive with a minimum of 75% of their shelf life remaining. In some instances, Prototek may choose to accept materials with less than 75% of shelf life remaining in order to better meet the production schedule or customer needs.
3. Confidentiality
3.1. All information and materials including, without limitation, drawings, artwork, data, customers’ names, or the like furnished by Prototek in connection with an order, shall remain property of the Prototek, shall be used by the supplier only for work being done for Prototek and shall be held in strict confidence by the supplier.
4. Right to Access
4.1. Prototek, LLC, its customers, and regulatory authorities shall be granted the right of access to applicable areas of facilities and applicable documented information, at any level of the supply chain. Request to access by Prototek and/or it’s customers is scheduled in advance and limited to the scope of quality management, regulatory requirements, data security (as applicable for suppliers receiving data from Prototek), and other data and information relevant to products/services provided for Prototek.
5. Record Retention
5.1 The Supplier shall maintain records on file that provide evidence of conformance to specified requirements and the effective operation of the quality system. If the Supplier is not the original fabricator, processor, or assembly source of product(s) which makes up the deliverable end item, the Supplier shall obtain and maintain lower-tier supplier/processor Certificate of Conformance documentation on file for the same retention period. Seller shall retain such records on file for a period of not less than 10 years after final payment. Contact Prototek prior to destruction.
